Terms of Service

These Terms of Service ("Terms") govern your access to and use of LoanSignal ("Service"), operated by WebMatter Solutions LLC ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using LoanSignal, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. By using LoanSignal, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To use LoanSignal, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Free Trial

LoanSignal offers a 7-day free trial for new users. During the trial period, you have access to the full functionality of the Service. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or discontinue the free trial at any time without notice.

5. Subscription and Billing

5.1 Subscription Plans

LoanSignal offers monthly and annual subscription plans. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

5.2 Payment Processing

All payments are processed securely through Stripe. We do not store your complete credit card information on our servers. By providing payment information, you represent that you are authorized to use the payment method.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate upon renewal.

5.4 Refunds

Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period. No partial refunds are provided for unused portions of a billing period.

5.5 Price Changes

We reserve the right to change our subscription prices. Any price changes will be communicated to you in advance and will take effect at the start of your next billing period.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Scrape, crawl, or use automated means to access the Service without permission
• Resell, sublicense, or provide access to the Service to third parties
• Use the Service to store or transmit content that infringes on intellectual property rights
• Impersonate any person or entity or misrepresent your affiliation

7. Your Data

7.1 Ownership

You retain ownership of all data you input into LoanSignal, including borrower information, loan details, notes, and other content ("Your Data"). We claim no ownership rights over Your Data.

7.2 License to Us

You grant us a limited license to use, store, and process Your Data solely to provide and improve the Service. This license ends when you delete Your Data or terminate your account.

7.3 Your Responsibilities

You are solely responsible for the accuracy and legality of Your Data. If you store personal information about borrowers or other third parties, you are responsible for obtaining any necessary consents and complying with applicable privacy laws.

7.4 Data Export

You may export Your Data at any time through the Service's export functionality while your account is active.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any damages resulting from service interruptions.

9. Intellectual Property

The Service, including its design, features, and content (excluding Your Data), is owned by WebMatter Solutions LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

10. Termination

10.1 By You

You may cancel your subscription and terminate your account at any time through your account settings or by contacting us at support@loansignal.io.

10.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, non-payment, or conduct that we believe is harmful to other users or the Service.

10.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Your Data will be deleted in accordance with our Privacy Policy. We are not obligated to retain Your Data after account termination.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBMATTER SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• YOUR USE OR INABILITY TO USE THE SERVICE
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN
• ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE
• ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE THAT MAY BE TRANSMITTED THROUGH THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless WebMatter Solutions LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Galveston County, Texas.

15. Dispute Resolution

Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us at support@loansignal.io. If we cannot resolve the dispute within 30 days, either party may pursue formal legal action as permitted under these Terms.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WebMatter Solutions LLC regarding your use of the Service.
